Terms and conditions governing the use of the Opsivel platform and related services.

1. Introduction
These Terms and Conditions, together with any applicable Order Form, subscription plan, Service Level Agreement, Data Processing Addendum, Privacy Policy, or other agreement expressly incorporated by reference, govern your access to and use of the Opsivel platform, website, web applications, mobile applications, APIs, dashboards, software, and related services.
For the purpose of these Terms:
  • “Opsivel,” “we,” “us,” “our,” or “Company” means SeaTrackt Solutions, the owner and operator of the Opsivel platform.
  • “Platform” means the Opsivel website, web application, mobile applications, dashboards, APIs, software, and related services.
  • “Customer” means the hotel, resort, hospitality business, organization, or other business entity that subscribes to or uses Opsivel.
  • “Authorized User” means an employee, contractor, administrator, manager, staff member, or other individual authorized by a Customer to access the Platform.
  • “Guest User” means an individual who interacts with certain Opsivel services, including by scanning a QR code or submitting a service request, without necessarily creating a full Opsivel account.
  • “Customer Data” means data, information, records, requests, reports, files, content, or other materials entered into, uploaded to, generated through, or otherwise made available through the Platform by or on behalf of the Customer or its Authorized Users.
  • “Subscription” means the Customer's paid or trial access to one or more Opsivel services or modules.
  • “Services” means the functionality, modules, software, support, and related services provided through Opsivel.
By accessing, registering for, subscribing to, downloading, installing, or using Opsivel, you agree to be bound by these Terms.
If you are using Opsivel on behalf of a company, hotel, resort, or other organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Platform.
2. About Opsivel
Opsivel is a cloud-based operations and workflow platform designed to help hospitality businesses digitize, manage, coordinate, monitor, and analyze operational activities.
Depending on the subscription and modules selected, Opsivel may provide functionality relating to:
  • Guest service requests
  • QR-based service request systems
  • Housekeeping operations
  • Maintenance requests
  • Staff task assignment and management
  • Activity and service coordination
  • Inventory and operational records
  • Visitor or guest-related workflows
  • Mobility, buggy, valet, or fleet operations
  • Notifications and alerts
  • Staff and administrator dashboards
  • Property-level reporting
  • Operational analytics
  • Multi-property management
  • Super administrator controls
  • Integrations with third-party services
  • Additional modules and features introduced by Opsivel from time to time
Opsivel may add, modify, improve, suspend, or discontinue features as the Platform evolves.
3. Eligibility and Authority
You may use Opsivel only if you are legally capable of entering into a binding agreement under applicable law.
If you create or administer an Opsivel account on behalf of an organization, you confirm that:
  1. You are authorized to act on behalf of that organization.
  2. The information provided during registration is accurate and complete.
  3. You have the authority to create users, assign permissions, and manage access on behalf of the organization.
  4. Your organization accepts responsibility for the actions of its Authorized Users.
Opsivel may request additional information to verify the identity, authority, or legitimacy of a Customer or account administrator.
4. Subscription and License
Subject to payment of applicable fees and compliance with these Terms, Opsivel grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the subscribed Services during the applicable Subscription Term.
The license granted under these Terms is solely for the Customer's internal business operations.
No ownership rights in the Platform are transferred to the Customer or any Authorized User.
Except as expressly permitted in writing by Opsivel, you may not:
  • Copy or reproduce the Platform
  • Sell, resell, rent, lease, sublicense, or commercially exploit the Platform
  • Reverse engineer, decompile, or disassemble the Platform
  • Attempt to discover source code or underlying algorithms
  • Modify or create derivative works based on the Platform
  • Remove proprietary notices
  • Use the Platform to develop a competing product or service
  • Provide unauthorized third parties access to the Platform
  • Circumvent usage limits, permissions, or security controls
All rights not expressly granted to you remain reserved by Opsivel.
5. Accounts and Access Control
Certain features of Opsivel require an account.
The Customer's designated administrator may create, manage, modify, suspend, or remove Authorized Users and assign permissions based on available roles and features.
The Customer is responsible for:
  • Determining who should have access to its account
  • Assigning appropriate permissions
  • Removing access when an employee or contractor no longer requires access
  • Maintaining accurate user information
  • Monitoring activities performed through its account
  • Protecting login credentials and authentication devices
Authorized Users must not share passwords, OTPs, authentication credentials, or account access with unauthorized individuals.
The Customer must promptly notify Opsivel if it becomes aware of:
  • Unauthorized account access
  • Suspected credential compromise
  • Unauthorized use of Customer Data
  • A security incident affecting its Opsivel account
Opsivel may suspend or restrict access where reasonably necessary to protect the security or integrity of the Platform.
6. Customer Responsibilities
The Customer is responsible for all activity occurring through its account and through the accounts of its Authorized Users.
The Customer agrees to:
  1. Use Opsivel only for lawful purposes.
  2. Ensure that its Authorized Users comply with these Terms.
  3. Obtain all necessary permissions and consents before entering personal information into the Platform.
  4. Ensure that Customer Data is accurate to the extent reasonably necessary for the intended use.
  5. Maintain appropriate internal access controls.
  6. Not use Opsivel in a manner that violates applicable law or the rights of others.
  7. Not submit malicious software, viruses, or harmful code.
  8. Not interfere with the security, integrity, or performance of the Platform.
  9. Not attempt unauthorized access to data, systems, accounts, or networks.
  10. Not use the Platform to send spam or unlawful communications.
  11. Not use the Platform for fraudulent, abusive, defamatory, discriminatory, or unlawful purposes.
The Customer remains responsible for its operational decisions and for the actions of its employees, contractors, service providers, and Authorized Users.
Opsivel is a technology platform. Unless expressly agreed otherwise in writing, Opsivel does not manage hotel staff, perform housekeeping, maintenance, valet, transportation, security, or other operational services on behalf of the Customer.
7. Guest Requests and QR-Based Services
Certain Opsivel features may allow guests or visitors to submit service requests through QR codes, web pages, kiosks, or other interfaces.
For example, a Guest User may:
  1. Scan a QR code.
  2. Select or submit a service request.
  3. Provide information required to process that request.
  4. Trigger a notification to authorized staff.
  5. Allow the request to be accepted, assigned, processed, completed, and recorded within Opsivel.
The Customer is responsible for:
  • The placement and management of QR codes
  • The accuracy of location information associated with QR codes
  • The availability and quality of services provided by its staff
  • Responding to service requests
  • Managing service levels and guest expectations
  • Handling complaints relating to the actual hospitality service provided
Opsivel does not guarantee that a service request will be accepted or completed within a specific period unless a separate written service level commitment expressly provides otherwise.
A technical notification, request status, or task update within Opsivel does not itself constitute a guarantee that the requested real-world service has been performed to a particular standard.
8. Customer Data and Ownership
8.1 Customer Ownership
The Customer retains ownership of its Customer Data.
Customer Data may include, depending on the Services used:
  • Property information
  • Employee and staff information
  • Service requests
  • Guest-related information
  • Room or location information
  • Operational records
  • Task history
  • Inventory records
  • Reports
  • Images or documents uploaded by the Customer
  • Other information entered into the Platform
Opsivel does not claim ownership of Customer Data solely because it is processed or stored through the Platform.
8.2 Limited Rights Granted to Opsivel
The Customer grants Opsivel a limited right to host, store, reproduce, transmit, process, and otherwise use Customer Data solely as reasonably necessary to:
  • Provide the Services
  • Maintain and secure the Platform
  • Respond to support requests
  • Prevent fraud and abuse
  • Comply with legal obligations
  • Improve the performance and reliability of the Platform
  • Generate aggregated or anonymized analytics that do not identify the Customer or an individual, where permitted by law
8.3 Customer Responsibility for Data
The Customer represents that it has the right to provide Customer Data to Opsivel and that the processing of such data through Opsivel does not violate applicable law or third-party rights.
The Customer is responsible for determining what information should be entered into the Platform and for obtaining any necessary notices, permissions, or consents.
9. Data Privacy
The collection and processing of personal information by Opsivel is governed by the Opsivel Privacy Policy.
Where Opsivel processes personal information on behalf of a Customer, the Customer may act as the controller or equivalent responsible party, while Opsivel may act as a processor or service provider, depending on the applicable law and circumstances of processing.
The Customer is responsible for ensuring that its collection and use of personal information through the Platform complies with applicable privacy and data protection laws.
10. Fees and Payment
The Customer agrees to pay the fees applicable to its selected Subscription or Order Form.
Unless otherwise agreed in writing:
  • Fees are payable according to the applicable billing cycle.
  • Applicable taxes may be charged in addition to subscription fees.
  • Subscription fees are generally non-refundable once charged, except where required by applicable law or expressly agreed in writing.
  • The Customer is responsible for maintaining valid billing information.
  • Late or failed payments may result in suspension of Services.
  • Opsivel may change pricing for future Subscription Terms with reasonable notice where required.
Where payment processing is handled by a third-party payment provider, payment information may be processed according to that provider's applicable terms and privacy practices.
Opsivel does not guarantee that every payment method will be available in every country or region.
11. Subscription Renewal and Changes
Unless otherwise specified in an Order Form or subscription agreement, a Subscription may renew automatically at the end of the applicable Subscription Term.
The Customer may upgrade, downgrade, add, or remove modules subject to the pricing and functionality available at that time.
Downgrading or removing a module may result in:
  • Loss of access to certain features
  • Reduced storage or user capacity
  • Restricted access to historical information associated with the removed module
The Customer is responsible for reviewing the impact of a downgrade before making the change.
12. Suspension of Services
Opsivel may suspend or restrict access to all or part of the Services if reasonably necessary because of:
  • Non-payment
  • A breach of these Terms
  • Suspected fraud or unlawful activity
  • A security threat
  • Unauthorized access attempts
  • Use that may harm the Platform or other customers
  • A legal or regulatory requirement
  • An emergency maintenance requirement
Where reasonably practical, Opsivel may provide notice before suspension.
Suspension does not relieve the Customer of payment obligations accrued before or during the suspension.
13. Availability and Maintenance
Opsivel intends to make the Platform reasonably available but does not guarantee uninterrupted or error-free operation.
The Platform may occasionally be unavailable because of:
  • Scheduled maintenance
  • Emergency maintenance
  • Software updates
  • Internet or telecommunications failures
  • Third-party service failures
  • Security incidents
  • Force majeure events
  • Events outside Opsivel's reasonable control
Opsivel may modify, update, or replace components of the Platform from time to time.
Unless separately agreed in writing, these Terms do not guarantee a specific uptime percentage or service level.
14. Third-Party Services and Integrations
Opsivel may integrate with third-party platforms, APIs, payment providers, communication services, mapping services, analytics providers, property management systems, or other technology providers.
Your use of third-party services may be subject to separate terms and privacy policies.
Opsivel is not responsible for:
  • The availability of third-party services
  • Changes made by third-party providers
  • Third-party data accuracy
  • Third-party outages
  • The privacy or security practices of third parties outside Opsivel's reasonable control
Opsivel may disable or modify an integration where necessary for security, technical, legal, or commercial reasons.
15. Intellectual Property
Opsivel and its licensors retain all right, title, and interest in:
  • The Opsivel name and brand
  • Logos
  • Software
  • Source code
  • Databases
  • User interface designs
  • Workflows
  • Documentation
  • Algorithms
  • Reports generated from the Platform, excluding Customer Data contained within them
  • Platform architecture
  • Features and functionality
  • Other intellectual property associated with Opsivel
You may not use the Opsivel name, logo, or other branding without prior written permission, except where necessary to accurately identify Opsivel as a service provider.
Feedback, suggestions, ideas, or recommendations voluntarily provided to Opsivel may be used by Opsivel to improve its products and services without any obligation to compensate the person providing them.
16. Confidentiality
Each party may receive confidential information from the other.
Confidential information includes information that is reasonably understood to be confidential, including:
  • Customer Data
  • Business information
  • Pricing
  • Product roadmaps
  • Technical information
  • Security information
  • Non-public documentation
Neither party may disclose the other party's confidential information except:
  • With the other party's permission
  • To employees, contractors, or professional advisers who need access and are subject to appropriate confidentiality obligations
  • Where disclosure is required by law
Confidentiality obligations do not apply to information that:
  • Is publicly available without breach of these Terms
  • Was lawfully known before disclosure
  • Is independently developed without use of confidential information
  • Is lawfully received from another source without confidentiality restrictions
17. Prohibited Activities
You must not, directly or indirectly:
  • Attempt to access another Customer's data
  • Circumvent authentication or authorization controls
  • Use automated tools to scrape the Platform without permission
  • Introduce malware or harmful code
  • Interfere with the Platform's operation
  • Reverse engineer or attempt to extract source code
  • Use the Platform to build a competing service
  • Impersonate another person or organization
  • Upload information you do not have the right to use
  • Use the Platform for unlawful surveillance or unauthorized monitoring
  • Send spam or unsolicited communications
  • Misrepresent information generated by the Platform
  • Use the Platform in violation of applicable law
Opsivel may investigate suspected violations and take appropriate action, including suspension or termination.
18. Termination
The Customer may terminate its Subscription according to the cancellation terms applicable to its plan or Order Form.
Opsivel may terminate or suspend the Services if:
  • The Customer materially breaches these Terms and fails to remedy the breach where remediation is reasonably possible
  • Fees remain unpaid beyond the applicable payment period
  • The Customer engages in fraudulent or unlawful activity
  • Continued access creates a security or legal risk
  • Required by law
Upon termination:
  • The Customer's right to access the terminated Services will end.
  • Outstanding fees and obligations remain payable.
  • The Customer may request export of Customer Data where such functionality or assistance is available and subject to applicable retention periods.
  • Opsivel may retain or delete Customer Data according to its retention practices, legal obligations, and applicable agreements.
19. Data Export and Deletion
Where reasonably practicable and subject to the Customer's Subscription and applicable technical limitations, Opsivel may provide the Customer with access to export relevant Customer Data.
The Customer should request or complete any required data export before the applicable account closure or deletion period expires.
Opsivel may retain certain information after termination where necessary for:
  • Legal compliance
  • Tax or accounting obligations
  • Security
  • Fraud prevention
  • Dispute resolution
  • Backup and disaster recovery
Data stored in backup systems may remain temporarily until overwritten or deleted according to Opsivel's backup and retention procedures.
20. Disclaimer
The Platform is provided on an "as available" basis.
To the maximum extent permitted by applicable law, Opsivel does not guarantee that:
  • The Platform will always be available
  • The Platform will be error-free
  • Every request will be delivered instantly
  • Every notification will be received
  • Every operational task will be completed
  • The Platform will meet every Customer requirement
  • The Services will prevent operational losses or errors
Opsivel is a technology provider and does not control the actual conduct, quality, availability, or performance of hotel staff, contractors, guests, service providers, or other third parties.
The Customer remains responsible for managing its own operations.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Opsivel shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including:
  • Loss of profits
  • Loss of revenue
  • Loss of business opportunity
  • Loss of goodwill
  • Business interruption
  • Loss of data
  • Operational losses caused by Customer personnel or third parties
Opsivel's total aggregate liability arising out of or relating to the Services shall not exceed the amount paid by the Customer to Opsivel for the specific Services giving rise to the claim during the three months immediately preceding the event giving rise to the claim, unless otherwise required by applicable law or agreed in writing.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
22. Indemnification
To the extent permitted by applicable law, the Customer agrees to indemnify and hold harmless Opsivel and its directors, employees, contractors, and representatives against claims, damages, liabilities, costs, and expenses arising from:
  • Customer Data
  • The Customer's breach of these Terms
  • Unauthorized use of the Platform
  • Violation of applicable law
  • Claims arising from services actually provided by the Customer, its employees, or contractors
23. Force Majeure
Neither party shall be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, government action, internet failures, power failures, labor disputes, pandemics, or failures of third-party infrastructure.
24. Changes to the Platform and Terms
Opsivel may update the Platform and these Terms from time to time.
Where legally required or reasonably appropriate, Opsivel may provide notice of material changes.
Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms, unless applicable law requires a different form of consent.
25. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India.
Subject to applicable law and any mandatory dispute resolution requirements, the courts located in Bangalore, Karnataka, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms.
26. General Provisions
Entire Agreement
These Terms, together with any applicable Order Form and incorporated policies, constitute the entire agreement between the parties concerning the Services.
Severability
If any provision is found to be unenforceable, the remaining provisions will continue in effect.
No Waiver
Failure to enforce any provision does not constitute a waiver of that provision.
Assignment
The Customer may not assign its rights or obligations under these Terms without Opsivel's prior written consent. Opsivel may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets.
Survival
Provisions relating to intellectual property, confidentiality, payment obligations, liability limitations, indemnification, and other provisions that by their nature should survive termination shall continue after termination.
